Describe the four groups involved in managing the corporation (Directors, Officers, Shareholders, and Stakeholders). Use your own words, examples, and describe the responsibilities of each group. Then, discuss the emergence of Stakeholders. Do you think Stakeholders should have more or less say in corporate governance? Why?

Directors

• Directoris incharge of an organization
• Directors are the trustees for the firm
• He does not have to be a stockholder or an employee of the firm
• Their work is based on company legislations
• Directors cannot vote by proxy

Officers

• An officer is a management-level employee of a corporation with the corporate powers bestowed on him
• He hold an office of authority
• An officer is appointed by board of directors
• He manages day to day business of firm

??Shareholders

• They are the owners of the company
• They hold shares of the company
• Board of directors are liable to answer to shareholders on the whereabouts of company
• They attend the annual general meeting of company
• They share the profit of company

Stakeholders

• They are the people associated or directly affected by the company
• They can be customers, suppliers, community, government or employees
• company is answerable to stakeholders

• Companies policies revolve around the betterment of stakeholders
