Any governmental authority, or any subdivision, agency, commission, or organization thereof, and any quasi-governmental or private body with jurisdiction over the assessment, determination, collection, or imposition of any Tax, is referred to as a Taxing Authority. To the extent that amounts are so withheld and promptly turned over to the relevant Taxing Authority by the Corporate Taxpayer, such withheld amounts are considered as having been paid to the Person in respect of whom such withholding was made for this Agreement (Avi-Yonah, 2015). There are no outstanding tax rulings or determinations between the Company and any Company Subsidiary. None of the Company or any Company Subsidiary has obtained a tax opinion concerning any transaction involving the Company or any Company Subsidiary. Other than settlements or compromises concerning asserted Tax liabilities for prior Tax years that do not impose any payment obligation on such Acquired Entity or concerning the Business or Purchased Assets after the IPO, there are no agreements or arrangements with any Taxing Authority.

The self-assessment premise underpins the American tax system. As a result, the individual must comprehend the criteria. The Internal Revenue Service (IRS) is the federal tax collection arm of the United States government. The rules differ depending on whether an individual is a resident or a non-resident immigrant for federal tax purposes. Taxpayers may be obliged to pay taxes in the state in which they reside or work. The Massachusetts Department of Revenue collects taxes in Massachusetts (MA) (MA DOR). People have an issue with the Massachusetts Department of Revenue, in my opinion, since it entails situations that complicate tax forms and, depending on whether the home state provides a credit, create the possibility of employees being taxed twice. The Internal Revenue Service (IRS), on the other hand, is, in my opinion, the taxation authority with which people have minor trouble. This is because the IRS is a branch of the Treasury and is one of the world's most efficient tax administrators (Townsend, 2018). For example, in fiscal year 2018, the IRS spent only 35 cents for every $100 in taxes received by the government.
