The letter of MD&A is known as management decision and analysis and this is a portion of a public company annual report in which management addresses the company annual performance that has seen in the last 12 months.

Below are the main purpose of this MD&A letter.

  • Required by FASB, it is required by FASB that management should always discuss the positive and negative performance of the company and this should be communicated to the investors as their money is at stake and for this information it becomes necessary that a letter should be prepared and send to the investors and this letter is prepared as MS&A.
  • Declare the results of operations, this letter covers the results of the operations and informs the investors about the profit or loss that has been earned/loss as per the result of the operations.
  • To declare critical accounting estimates, SEC encourages that company should discloses every critical estimates that they have prepared in preparing the accounts of the company.
  • Liquidity and capital resources of the company are declared in this letter. Any activity that will impact the liquidity or the capital resource of the company is completely disclosed in this letter.
