In 500 words, identify three strategic issues to be addressed before a proposed merger take place.
Business often grows by acquiring, or combining with, other businesses. Often the acquisition is facilitated through a merger. A merger is a type of business combination in which an acquiring company absorbs a second company, and the second company ceases to exist as a separate legal entity subsequent to the merger.
STRATEGIES
Poison Pills - They are securities that have value only when an unfriendly bidder obtains control of a certain percentage of the target's shares. An example would be a bond having a poison put.
Green Mail - It is a targeted repurchase of thetarget company's stock by the target company after the potential acquirer has purchased a large number of shares of the target company's stock.
Lobster Traps - When the target company issues a charter preventing individuals with more than 10% of convertible securities from converting them to voting stocks. This catches the " large lobsters" and let the small one escape.
