The standard of care is typically defined as the level and type of a care that a reasonably competent and skilled healthcare professional, with a similar background and in the same medical community, would have provided under the circumstances that led to the alleged malpractice. The duty of care requires a fudiciary to be informed of all material information reasonably available before making a business decision. In determining whether the directors have satisfied their fiduciary duties, a court will generaly give information to the board and even if decision turned to be unwise, the directors act in good faith and in the belief which results in the best interests in the company and its stockholders. The goal of the standard care in Delaware state is to provide the working physician with a practical and useful method of the standard of care to help and guide daily practice. By practicing various practices in clinical concepts in mind, physicians may feel confidence in daily emergency practices when faced with a malpractice actions.
