Utilitarianism is a theory which depends upon the utility i.e. doing the activity that translates into maximum utility. Manytimes the outcomes of both the theory is same when the maxium utility is related to care of the person which is true in case of close relatives. The main difference between the two is that utilitarianism depends upon outcome of utility while ethics of care is all about the care given or taken from others, and so some times can have completely opposite suggestions.
