Today, just about anyone can form a corporation for any lawful purpose in any state. The requirements differ from state to state. You do not even have to form your corporation in the state where you live or the state where you are doing business. In fact, many individuals form their corporations in the state of Delaware because it has the fewest legal restrictions on corporate formation and operation. Delaware is also the state most often chosen for incorporation via the Internet, often through online companies that offer incorporation services.
Another consideration is that of stock options. When forming a corporation, stock options to corporate officers must not be excessive so as to have the appearance that it is being offered as a form of compensation.

The advantage that the Delaware has that it has court of chancery which specifically hears the matter of business and provides solutions based on their rich knowledge of business laws of Delaware. The taxes, business license, are levied on corporation which does its business outside the state. Taxes are also not applicable on intangible properties. Fillings and incorporating the company is faster than any other state. Conversion of company legal entity is easier like converting LLC to C corp.
While in my state of new york, apart from scope of developing new contacts in business, targeting customers and clients, marketing and global exposure, nothing hold more good to incorporate in new york.
The filling process is lengthy and strict. Even spelling mistake can lead to rejection of request of incorporation. Purpose for which incorporation is sought needs to be explained. The formation notice has to be displayed or published in newspaper for certain period of time. Taxes are also levied if one is incorporated in New York.
