Vanya Pang was engaged by Umbrella Academy Pte Ltd (“UA”) to produce a series of 10 video clips for its online course. The contract sets out the following terms:

  1. 1) Vanya Pang is to attend 2 project meetings.

  2. 2) Vanya Pang is to submit the first draft of the video clips within 7 days after the 2

    project meetings.

  3. 3) UA is to review the first draft and provide its comments within 14 days.

  4. 4) All draft video clips to be submitted for approval within 30 days from the date of the

    contract.

  5. 5) UA will issue a cheque for $10,000 within 7 days after all the 10 video clips have

    been approved by UA.

Soon after the contract was signed, COVID-19 restrictions were enforced. Vanya Pang was invited to attend the first project meeting via zoom which will be recorded. On the day of the meeting, an outage disrupted the wifi in Vanya Pang’s house. She was unable to access the zoom meeting via her laptop or mobile. The meeting had ended when the power was restored. She quickly contacted Tom Hop, UA’s project head, to explain to him about the outage. Vanya Pang said that she could view the recorded zoom meeting and prepare the first draft of the video clip based on the requirements discussed in the meeting. Tom Hop rejected Vanya Pang’s explanation. He replied that the project team had decided to engage another person to produce the video clips at a lower costs and faster turnaround.

The following day, Vanya Pang received an email from UA terminating her services.

Required:

Advise Vanya Pang whether UA has the right to terminate the contract due to a breach of term (1) when she failed to attend the first project meeting. Analyse the facts and apply the relevant legal principles and case laws in your advice to Vanya Pang.

Vanya Pang had to submit the all 10 videos clips to The UA as per terms and conditions mentioned in the contract where it was the essential terms was the UA That vanya pang will attend the 2 Project meetings and then she will be able to submit video clip gradually and accordingly approval etc all terms were set out in the contract executed between them .

But as given in the problem on projectm meeting day vanya pang was unable to attend the meeting owing the reason to be the wifi problem at her house .But she had available the recording of the meeting on the project and hence called the UA Urgently which discussed contract ended and hiring by them of another for video clips at lower cost and faster turnaround .The next day officially announcement of termination through email received to the Vanya pang .

The UA Has no right to breach the contract based on the term mentioned on 1 As the recording is available to the vanya and hiring of other just because available at low cost was unjustified
