What is the role of a board of directors from an ethical governance standpoint? What is the role of CEO, Vice President, Manager, Supervisor, staff and administrative orall other employee groups of an organization. What is the ethical governance and accountability level of each group using all forms/norms or codes of ethics in today’s social and work environment.
The Board of Directors are the highest responsible people in the organization. They are responsible to appoint the Chief Operating Officer for the company and to verse the overall performance and working of CEO and Other Senior Management in the organization. It is their role to look after the ethical cooperation of senior management on daily basis. Ethical Governance and Accountability are very important today as it has been seen that accountability is the fundamental requirement to avoid the use of power negatively. Thus, transparent and accountable governance leads to ethical business organizations where each and every person in the organisation feel responsible for their actions and decisions. From top level – CEO, Vice President to medium and low level- Mangers, Staff and administration,etc. each one is responsible to maintain accountability in the organization at different levels so that performance can be evaluated easily and no clashes among employees will disturb the working. Accountability exists only when the employees share information in the right direction and have justifications for their actions. Without accountability, good governance cannot be achieved. Ethical governance is not like regular governance as it value based not rule based. To achieve ethical governance, organizations should work on addressing the real time commercial problems, challenging administrative processes at all levels, and derive the organization with more moral values.
