This Amendment to Software License, Support and Services Agreement, entered into as of October 20, 2020 (the “Effective Date”), is made by and between CompanyB, with its main offices at Bangalore, acting through its UK branch office, CompanyB, registered at Companies House with number BR001234 and established at 4th Floor, 1 Upper George Street, Canary Wharf, (“CompanyB”), and CompanyA, with its main offices at 11A Abraham Place, Dublin 2, Ireland (“CompanyA”).

RECITALS:

WHEREAS, CompanyA and Customer entered into that certain Software License, Support and Services Agreement (as amended, supplemented or otherwise modified from time to time, the “License Agreement”, all terms used herein and not otherwise defined shall have the meaning ascribed to them in the License Agreement), effective as of October 20, 2012, whereby CompanyA granted a license to Customer in and to certain software products specified in the License Agreement (the “Software”) and provides certain services with respect to the Software to Customer in accordance with the terms of the License Agreement; and

WHEREAS, CompanyA and Customer desire to amend the License Agreement, as hereinafter set forth;

NOW, THEREFORE, in consideration of the mutual promises of the parties hereunder and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties hereby agree as follows:

AMENDMENT:

1. Amendment to the License Agreement

Customer entered into the License Agreement and subsequent Amendments for the purchase of licenses for the PRODUCT service offered by CompanyA and related Support for the benefit of CompanyB. The Parties agree that by this Amendment, such Support services shall be limited and modified as more particularly set forth below, and shall be extended for the following annual periods for the fee set forth below which shall not be renewed or extended thereafter:

Description of Support Services

The Support services shall be limited to the following and shall not be renewed or extended beyond the Annual Period described above:

(a) During this extended Support period, no new enhancements or changes to existing functionalities shall be considered unless such enhancement or change is materially related to a compliance issue. Any high vulnerability security issue shall be considered only if it is possible to fix the issue without changing or upgrading to a new version of any underlying third party component(s).

(b) Any new incident which is the result of a bug in the application or a compliance issue shall be analyzed by CompanyA and a patch shall be considered, on a case by case basis, only for critical issues that significantly impact the business and do not have any reasonable workaround as per terms of agreement. Any fix/patch delivered shall be tested on the same certified environment as officially supported by the existing update/upgrade version over which the patch is delivered. Any new certification request on new versions of any underlying third-party components like OS/DB shall not be considered.

(c) There shall not be any certification covered under this amendment and any such requests shall be considered as a new request and shall be taken up in a new Statement of Work.

2. Payment Terms.

· An invoice in the amount of Seven Hundred Thousand Dollars ($700,000) shall be issued upon signature of this Amendment 4.

· Payment is due within sixty (60) days of date of invoice.

· Customer shall provide Purchase Order (if Customer requires) upon signature of the Subscription Order, the lack of which shall result in delay or non-delivery of Software product and/or services.

· The subsequent year(s) invoice will be sent 30 days before the anniversary date.

3. Miscellaneous.

(a) Except as expressly stated herein all other terms and conditions of the License Agreement shall continue in full force and effect during the term of the License Agreement and the provisions of the License Agreement are hereby incorporated in this Amendment by reference.

(b) This Amendment may be executed in any number of counterparts, and each counterpart hereof shall be deemed to be an original instrument, but all such counterparts shall constitute but one agreement. All signatures may be transmitted by facsimile or in a PDF attachment to an email, and such facsimile or attachment will, for all purposes, be deemed to be the original signature of such party whose signature it reproduces, and will be binding upon such party.

This renewal letter is governed by the terms and conditions of the Software Maintenance and Services Agreement effective as of October 20 , 2012 between CompanyB Limited and CompanyA Limited (the “Support Agreement”) and such terms and conditions are incorporated herein by reference. This renewal letter serves as CompanyB Limited’s authorization for annual renewals of the support and maintenance service fees for the licensed software identified below. Except as modified by this renewal letter, all terms and conditions set forth in the Support Agreement shall remain in full force and effect. This renewal letter shall constitute a 12 month agreement effective 20-Oct-2020 through 19-Oct-2021 (the “Renewal Term”) for the existing application(s) licensed by CompanyB Limited.
