Jim who recently quit his job after receiving a very large bonus payment is interested in forming his own business. He is not sure how to begin and he has asked you to help him identify and analyze what company formation options he has available. He can set up his business in the UK, Canada or the USA, he will go where you decide. a. Please advise him on what it means to be unincorporated, the advantages and disadvantages b. Then explain to him the significance of opening an incorporated business? What are the advantages and disadvantages of this type of business? c. Then explain to him what is a Limited Liability Partnership? What responsibilities and liabilities do the partners have for themselves individually, to the firm/to each other in the firm and to the public? d. Explain to Jim if he needs additional capital to begin his new company what are some ways he could finance his new company? 2. 5 years later Jim has done very well but he is facing competition from 4 other similar businesses, he is considering the idea of merging with one of his competitors or trying to acquire one of them. a. Explain to Jim what a merger is. Then identify and explain the steps that he and the other party would need to take to merge together – remember this will vary country to country. b. Jim was able to convince Bob to merge their companies together, explain to Jim what three separate groups of professionals are recommended to be consulted to assist him with this merger. c. Explain to Jim and Bob what issues they will need to agree to when the two comes merge into one new company. For example, who will be the Director, etc… 3. (In case Jim cannot merge with someone) Jim soon realizes that none of his competitors want to merge with him but still facing stiff competition, so he asks you to assist him in acquiring one of the competitors to give him a bigger advantage in the market. a. Explain to Jim what is an acquisition and then explain to him the different ways he can acquire one of his competitor’s company. b. Explain to Jim what the significance of him acquiring a competitor’s company would be in relations to control of the company, decision making, directors, etc… 4. If Jim cannot merge with a competitor is there the possibility of a Strategic Alliance or Joint Venture between the parties? a. Explain what is a Strategic Alliance? a. The term unincorporated means the organization form to attract public either in the form of clubs , or political interest or for any charitable purpose.The term has word un in its name therefore they do not follow normal course of procedure instead in informal organization formed.In this category the business and the person are considered one and the person running the business is known as proprietor.

Opting for unincorporated business is good idea for short run but the Jim wants long term profit and want to be in the business line that opting these type of business is not a good approach.
b. The term incorporation means giving birth to the business using law. In these organization either there is formation of company, limited liability partnership or company formed for charitable purpose.
I advice Jim to opt for incorporated business as the benefits of this type of business is more than the disadvantages. Moreover to be ethical in the line of business one has to work keeping the compliance of the law.

c. Limited Liability Partnership is the form of incorporated business. In this category there is the mixture of attributes of partnership and the company.In these unlike partnership the liability of the partners and limited in nature . They formed in such a way that they provide dual job of company and the partnership. They are flexible in nature and are quite common in today's era.

Merger is nothing but a agreement that unites two or three existing companies into one new company.Merging is done inorder to expand company's reach,gain market share,grow revenues,unite common products etc.These are done inorder to increase the shareholder value.It is a voluntary fusion of two companies.There are 5 types of mergers-conglomerate,congeneric,market extension,horizontal and vertical.let me state each of them.
conglomerate: This is a merger between two or more companies that have nothing in common i.e.engaged in unrelated business activities.
congeneric: It is a combination of two or more companies that operate in same market with factors like technology,R&D and marketing.It is also known as production extension merger.
market extension: It occurs between companies that sell the same product but compete in different markets.
steps that need to be taken by Jim and the other party inorder to take a merge together are:
(1)To check one's own liquidity and financial health:there should be enough liquid cash inorder to carry off a transaction successfully.
(2)Making sure that his people are able to see it clearly:Before closing a deal ,you need to have a team in place with the experience to assess a transaction,complete an investment etc.
(3)Defining his goals and success rates:competitive position and future objectives has to be analyzed.like is your goal to market shares? and do you want to increase the economies of sales.
(4)compensating,communicating,caring and culling should be there.
(5)Creating a transition team.
The 3 seperate group of professionals are:
(1)Pre combination:HR implications and actions comes first.
(2)Combination-integrating the company
(3)Solidification and assessment of the new entity.
The issues they need to agree when two comes and merge into a new company are:
liabilities and rights like which business is responsible for the debts and obligations of the company that was bought out.the asset purchases conditions and the stock purchases conditions have to be agreed .
horizontal: It occurs between companies operating in the same industry.
vertical: It occurs when two companies that produce parts or services for a product merger the union.

The act of gaining or acquiring possessions : the acquisation of real estate. Something acquired ; addition ; public excitment about the museum's recent acquisations. the purchase of one business enterprise by another; the acquisation of a rival corporaations.
The defination of acquisation is the act of getting or receiving somethng, or the item that was received. An exaple of an acquisation is the purchase of a house youdictionary and usage.
An acquisation involves buying companies and changing it to fit the way you do business> the goal is to create a new company made of the best parts of your business and the proven part of another. A startup would buy another busiess for various reasons.
The basic mathod of acquisation are purchase, gift , exchange and filed collection. The firs three are of these are legal transactions. Types are as follows

Merger is the formation of a new entity by combining two existing entity.Example is the merger of Vodafone LLC and Idea PVT. LTD. for gaining market In telecom industry. There is a possibility of strategic alliance and joint venture when companies have space for creating alliance and joint venture because these two are more flexible and easily terminated.
Strategic alliance is an arrangement of two companies with their independence retaining capability for a beneficial project.Examples are Hewlett Packard and Disney, Uber and Spotify. There are lot of advantages- It helps in entering new business with less knowledge, gains new client base, hepls in covering local territories with alliance of other country's company. Some disadvantages are - It creates difficulties in operation management's.There is less control on business, it includes loss of competency.
The chacteristic of Strategic alliance is that it produce powerful competencies,and have significant consequences when they are not successful. It create values for long vision of company.
Joint Venture is the formation of cooperation by two companies to accomplish specific project and activity. Example are Google and NASA who joins JV for Google earth project.The characteristics of Joint venture are that they are in agreement with each other.They share equal profit-loss and mutually control all business endeavours.The joint venture is temporary so there is also no special firm name in it.
Some advantages are that joint venture provide opportunity gain of insight and expertise. It is flexible in nature and can be easily terminated.There is also opportunity in building relations in very short term.Cost of advertisement also decreases.
Some disadvantages are that the objective by which Joint venture form is vague and not clear. There is imbalance in expertise, asset and investment. Partnership is not reliable and also it has very unclear communication. One party is involved not in operations of company.
