• Role of UCC in contract law:

The goal of UCC was to modernize the contract law and allow for exceptions in common law in contracts between merchants. The law aims to standardize sales and other commercial transactions across US. The UCC aims to provide protection for online transactions as online transactions happen in huge amounts. The aim of ucc is to provide businesses with rights and protections which may not be available if creation of UCC is left to individual states.

The UCC is generally set of legal rules and regulations that govern commercial transactions or dealings. It also regulates the transfer or sale of personal property. The UCC with respect to contract law that governs contractual transactions with real estate, services, insurance and employment. It also governs transactions with goods and tangible goods.

• Problems with cyber commerce:

1. Dynamic pricing change and difficulty in tracking the changing price of the competitors.
2. The business keep an eye on various aspects like prices, new offers, promotions, deals etc.
3. The business finds it difficult to maintain customer’s loyalty in case of e business.
4. The business would find it difficult to compensate for the investment made. The customer would return the product marking it as a defective one. This will make the business to suffer heavy loss on shipment and reputation as well.
5. There can also be problem with data security. Fraudsters post lot of spam information and also attack the websites with viruses.
6. The business will also be not sure of online identification of the people operating the website. Whether the customer is a genuine person or not is a questionable fact.

• The working conditions of the employee are governed by working conditions act. It is required that every company appoints one employee as prevention officer. He looks at the health and safety issues of the employees. Employees must have periodic health examination. Company’s emergency officers must be trained to take of the employees during

emergencies.

Legislation on working conditions however doesn’t apply to self employed or volunteers except serious risks except in case of working with danger substances. In such cases, the rules of legislation apply.
